Terms of Service

1. Service Agreement

These Terms of Service ("Terms") govern the relationship between Ngugi Creations ("we," "us," or "our") and the client ("you" or "your") regarding the provision of IT services. By engaging our services, you agree to these Terms in their entirety.

2. Service Description

Ngugi Creations provides various IT services including but not limited to:

• Web design and development
• Software development
• Server maintenance
• Email solutions
• SEO services
• IT consultations
• Web redesign and maintenance
• Digital strategy and planning

The specific scope, deliverables, timeline, and cost of services will be detailed in a separate Statement of Work (SOW) or service agreement provided to you upon project initiation.

3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for service delivery
• Review and provide feedback on deliverables in a timely manner
• Make payments according to the agreed schedule
• Obtain any necessary third-party permissions or licenses required for your project
• Comply with all applicable laws and regulations
• Maintain open communication throughout the project lifecycle

4. Project Timeline and Deliverables

We will make reasonable efforts to meet the agreed-upon timeline for deliverables. However, timelines may be adjusted due to:

• Changes in project scope or requirements
• Delays in receiving client feedback or required materials
• Unforeseen technical challenges or dependencies
• Force majeure events beyond our reasonable control

We will communicate any timeline adjustments promptly and work with you to minimize project delays.

5. Payment Terms

Payment terms will be specified in your individual service agreement or SOW. Generally:

• A deposit (typically 30-50%) is required before work commences
• Milestone payments may be required for larger projects
• Final payment is due upon project completion and approval
• Late payments may incur additional fees as specified in your agreement
• Payment methods accepted include bank transfer, M-Pesa, and other agreed methods

6. Revisions and Changes

The number of revisions included in your project will be specified in your service agreement. Additional revisions or changes to the project scope may incur additional charges and affect the project timeline. We will provide estimates for any additional work before proceeding.

7. Confidentiality

We will maintain the confidentiality of any proprietary information shared during the course of our engagement. Similarly, you agree to keep confidential any proprietary information we share regarding our methods, processes, and intellectual property. This confidentiality obligation survives the termination of our service agreement.

8. Termination

Either party may terminate the service agreement with written notice if:

• The other party breaches a material term of the agreement
• As otherwise specified in the individual service agreement
• Either party provides reasonable notice as defined in the service agreement

Upon termination, you will be responsible for payment for all services rendered up to the termination date, including any work in progress.

9. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However, we do not guarantee specific business results, revenue increases, or other outcomes from our services. Your success depends on many factors beyond our control.
